I.1. Distributor Eligibility Requirements.

1. Distributor must meet and maintain the following eligibility requirements:
2. (a) Be 21 years of age or older, possess a valid driver's license, and have the legal right to work in the United States;
3. (b) Own a vehicle capable of safely transporting and storing products;
4. (c) Own a vehicle capable of safely transporting and storing products;
5. (d) Consent to and pass a background check conducted by Distro Brands, LLC;
6. (e) Have access to a climate-controlled storage facility for the Products;
7. (f) Ability to lift at least fifty (50) pounds;
8. (g) Use the mobile application for inventory, sales, and payment management provided by Distro Brands, LLC;
9. (h) Facilitate payments from Resellers and provide weekly sales reports to Distro Brands, LLC; and
10. (i) Maintain the minimum level of inventory each month.

I.2. Tools Provided to Distributor by Distro Brands, LLC.

1. Distro Brands, LLC shall supply Distributor with the following tools to help facilitate Distributor's obligations under this Agreement:
2. (a) An iPad with mobile connectivity and DSD Mobile Application;
3. (b) Accounts within the Distributor's territory, exempt from new retail partner fees; and
4. (c) Samples of events/products and guidelines, including CBD product waivers.
5. Distributor is responsible for notifying Distro Brands, LLC for the replacement any of the provided tools upon failure or exhaustion of inventory.
